Terms of Service

1. Agreement to Terms

By accessing or using the Vantafin platform, website, and all related services (collectively, the "Service") operated by DTS Analytics LLC ("DTS Analytics", "Company", "we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, and "you" or "your" refers to that entity.

IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICE.

2. Eligibility

You must be at least 13 years of age (or such higher minimum age as required by the laws of your jurisdiction) to use the Service. By using the Service, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into these Terms.

3. Description of Service

Vantafin provides an online platform for financial research, market analysis, and AI-assisted information retrieval. The Service may include, but is not limited to:

• Market and company data: Company profiles, stock quotes, financial statements, valuation metrics, analyst estimates, ownership and insider-transaction data, dividends, stock splits, IPO calendars, short interest, macroeconomic indicators, ETF and fund holdings, revenue segmentation, earnings calendars and reports, earnings call transcripts, earnings materials (such as investor-relations presentations and supplements), and interactive price and financial charts.
• SEC and regulatory content: Historical and live SEC filings and related disclosure documents, filing search and viewing tools, and NASDAQ trading-halt information.
• Research tools: AI-powered chat, stock screener, watchlists, saved screeners, market and earnings calendars, market news, and related search and visualization features.
• Alerts and notifications: Configurable price, SEC filing, and news alerts delivered by email (and, where available, through in-app or programmatic channels). Alert notifications may include AI-generated summaries.
• Personal file storage: A file drive for uploading, organizing, and storing documents you provide, subject to plan limits.
• Programmatic access (paid plans): A public REST Data API, a WebSocket streaming API (Ultimate plan), and a Model Context Protocol ("MCP") server that allow authorized users and third-party AI clients to access Vantafin data programmatically, subject to authentication, rate limits, and plan entitlements. REST API and MCP access are available on Pro and Ultimate; WebSocket API access is exclusive to Ultimate (and to accounts we expressly grant equivalent access, such as tester or admin accounts).

Certain portions of the Service may be browsed without creating an account (for example, company profiles, delayed market data, and live SEC filing and news feeds as described on our pricing page). Other features - including AI chat, watchlists, alerts, file storage, live market data on eligible tickers, and programmatic API, WebSocket, and MCP access - require a registered account and, where applicable, a paid subscription.

Plan features, usage limits (such as API rate limits, AI chat question allowances, alert counts, daily notification caps, and storage quotas), and pricing are described on our pricing page and may change from time to time as described in Section 6.

Vantafin is not a broker-dealer, investment adviser, financial planner, tax adviser, or legal adviser. The Service is a research and informational tool only. See Section 7 for important disclaimers.

4. Accounts

• You must provide accurate, complete, and current information when creating an account.
• You may create an account with an email and password, or by signing in through supported third-party identity providers (such as Google or Microsoft).
• You are responsible for maintaining the confidentiality of your account credentials, API keys, and session tokens, and for all activity under your account.
• You must notify us immediately at [email protected] if you suspect unauthorized access to your account or misuse of your API keys.
• One account per person; accounts may not be shared or transferred.
• Accounts registered or operated by automated means ("bots") are not permitted, except through the authorized programmatic interfaces (REST API, WebSocket API, or MCP server) using a valid API key issued to your account.

User content. You may upload files, create watchlists, screeners, alerts, chat conversations, saved prompts, and other content through the Service ("User Content"). You retain ownership of your User Content. By uploading or submitting User Content, you grant DTS Analytics a non-exclusive, worldwide license to host, store, process, index, and display that content solely to operate and improve the Service (including AI document search and retrieval features). You represent that you have all rights necessary to upload and use your User Content and that it does not violate these Terms or applicable law.

We reserve the right to suspend or terminate any account at our sole discretion, including for violation of these Terms, suspicious activity, or any reason we deem appropriate.

5. Acceptable Use

You agree not to:

• Use the Service for any illegal or unauthorized purpose, or in violation of any applicable law or regulation
• Scrape, crawl, harvest, or systematically download content from the Service by automated means except through the authorized REST API, WebSocket API, or MCP server using a valid API key and within applicable rate limits
• Exceed published or account-specific rate limits, circumvent usage caps, or attempt to obtain access to features or data entitlements not included in your plan
• Share, publish, or expose your API keys; use another user's API keys; or allow unauthorized third parties to access the Service through your credentials
• Reverse-engineer, decompile, or disassemble any part of the Service
• Interfere with or disrupt the integrity, performance, or security of the Service
• Attempt to gain unauthorized access to any part of the Service, other accounts, or related systems
• Use the Service for market manipulation, fraud, or deceptive practices
• Redistribute, resell, sublicense, publicly republish, or make available any data, content, or AI outputs from the Service to third parties except as expressly permitted under a separate written commercial licensing agreement or our prior written consent
• Embed or commercially exploit Vantafin data in a product you sell to customers unless you have an applicable commercial license from us
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Use the Service to transmit malware, viruses, or other harmful code
• Upload User Content that infringes intellectual property rights, contains unlawful material, or includes sensitive personal information you are not authorized to share
• Circumvent any security, authentication, rate-limiting, or access-control mechanisms

6. Payment, Subscriptions, and Cancellation

Vantafin offers a free tier (including certain features available without an account) and self-serve paid "Pro" and "Ultimate" subscriptions. Current plan features and limits are described on our pricing page.

By subscribing to a paid plan:

• You agree to pay all fees associated with your selected plan, including applicable taxes.
• Subscriptions automatically renew at the end of each billing cycle (monthly or annually) unless you cancel before the renewal date.
• You may cancel your subscription at any time through your account settings or Stripe customer portal. Cancellation takes effect at the end of the current billing period; no partial refunds will be issued for unused time unless required by applicable law.
• Paid plans may include usage limits (for example, API requests per minute, AI chat questions per billing period, numbers of custom alerts, daily alert notifications, and file-storage quotas). If you exceed applicable limits, we may throttle, suspend, or restrict access to the affected feature until the limit resets or you upgrade your plan.
• We reserve the right to change pricing or plan features with 30 days' prior notice where required. Continued use after a price or feature change constitutes acceptance, unless you cancel before the change takes effect.
• In the event of account termination for violation of these Terms, no refund will be issued.
• Commercial licensing, custom integrations, and service-level commitments, where offered, are governed by a separate written agreement.

Payment processing is handled by third-party providers (e.g., Stripe). Their terms and privacy policies apply to payment transactions.

7. Financial and Market Disclaimers

THE FOLLOWING DISCLAIMERS ARE MATERIAL TO THESE TERMS. PLEASE READ THEM CAREFULLY.

The information provided on Vantafin, including blog posts, market data, quotes, charts, screeners, leaderboards, research tools, document search, alerts, API and WebSocket data, MCP tools, and AI-generated content, is for informational and educational purposes only. It does not constitute investment advice, financial advice, trading advice, tax advice, legal advice, or any other form of professional advice.

DTS Analytics LLC (operating as Vantafin) is not a registered investment adviser, broker-dealer, or fiduciary, and nothing on the Service should be construed as a solicitation, recommendation, endorsement, or offer to buy, sell, hold, or trade any security, cryptocurrency, or other financial instrument. No adviser-client, broker-customer, or similar relationship is created by your use of the Service. Past performance is not indicative of future results.

Market data and other information on the Service may be delayed, incomplete, outdated, or incorrect, and may contain errors or omissions. You must independently verify all information against primary sources before making any investment, trading, or financial decision. You are solely responsible for your own investment, trading, and financial decisions and for any tax obligations arising from them. To the fullest extent permitted by law, DTS Analytics LLC is not liable for any losses, including investment or trading losses, arising from your use of or reliance on the Service or any information it provides.

• Not investment advice. Nothing on the Service, including blog posts, AI-generated content, data visualizations, stock data, quotes, charts, screeners, leaderboards, financial metrics, analyst opinions, alerts, API or WebSocket feeds, MCP tool outputs, or any other information, constitutes investment advice, financial advice, trading advice, tax advice, legal advice, or any other form of professional advice.
• Not a recommendation. No content on the Service is a recommendation, endorsement, solicitation, or offer to buy, sell, hold, or trade any security, financial instrument, cryptocurrency, or other asset.
• No fiduciary duty. DTS Analytics does not owe you, and does not assume, any fiduciary duty or obligation. No adviser-client, broker-customer, or similar relationship is created by your use of the Service.
• Past performance. Past performance is not indicative of future results. Past performance data displayed on the Service does not guarantee or indicate future results.
• No warranty of accuracy or timeliness. All market data, quotes, prices, volumes, changes, percentages, charts, fundamentals, screeners, leaderboards, filings metadata, news, transcripts, alerts, API responses, WebSocket messages, MCP tool results, and any derived or computed fields are provided without any warranty of accuracy, completeness, reliability, or timeliness. Data may be delayed, incomplete, outdated, miscalculated, interrupted, or incorrect. Live or near-real-time data, where offered, is available only on eligible tickers and subject to plan entitlements and market hours. Without an account or paid plan, certain market quotes may be shown on a delayed basis (for example, approximately 15 minutes).
• Third-party and derived data. Financial data, market data, SEC filings, earnings transcripts, earnings materials, analyst estimates, news, macroeconomic series, and other information displayed on or retrieved through the Service may originate from third-party sources and may be subject to delay, redistribution restrictions, or licensing terms. We may also compute, transform, cache, or aggregate data. We do not guarantee the accuracy, completeness, or timeliness of any third-party or derived data, and errors may occur in ingestion, calculation, display, or delivery.
• Independent verification required. Before placing any trade or making any investment or financial decision, you must independently verify all information against primary sources (such as exchanges, official SEC filings, company reports, or your broker). Do not rely solely on Vantafin for time-critical or money-critical decisions.
• Assumption of risk. Securities markets involve substantial risk of loss. By using the Service, you expressly assume all risk of any investment, trading, or financial decision you make, and all risk arising from any incorrect, delayed, incomplete, or unavailable information on the Service.
• Your responsibility. You are solely responsible for your own investment, financial, and trading decisions and for any tax obligations arising from them. You should consult a qualified and licensed financial professional before making any such decisions.

8. Artificial Intelligence Terms

Vantafin incorporates AI-powered features throughout the Service. Your use of these features is additionally governed by our AI Policy, which is incorporated into these Terms by reference. Key points:

• AI features include conversational chat, document search over files you upload, automated retrieval and summarization of SEC filings, earnings transcripts, earnings materials, and other Vantafin datasets, AI-generated conversation titles, and AI-generated summaries included in certain alert emails.
• AI-generated content may be inaccurate, incomplete, outdated, or fabricated ("hallucinations").
• You must independently verify all AI-generated content before relying on it.
• AI outputs do not constitute financial, investment, legal, or professional advice of any kind.
• When you connect third-party AI clients to Vantafin through the MCP server or Data API, you are responsible for those clients' behavior and for safeguarding your API keys.
• We provide no warranty regarding the accuracy, reliability, or completeness of AI-generated content.
• Your use of AI features is at your own risk and may be subject to plan-specific usage limits.

9. Intellectual Property

The Service, including its design, code, text, graphics, logos, and all other content (excluding user-submitted content and third-party data), is the property of DTS Analytics LLC and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works based on the Service without our express written permission.

By submitting content to the Service (e.g., feedback, suggestions), you grant DTS Analytics a non-exclusive, royalty-free, worldwide, perpetual license to use, modify, and incorporate that content into the Service.

10. Third-Party Services and Data

The Service integrates with, links to, or relies upon third-party services, APIs, data providers, cloud infrastructure providers, payment processors, email delivery services, analytics providers, and AI model providers. These third-party services are governed by their own terms and privacy policies. We are not responsible for the content, accuracy, availability, or practices of any third-party service.

Market data, filings, news, and related content may originate from third parties (including exchanges, regulatory sources, and commercial data vendors). Your use of such content through Vantafin does not grant you any rights beyond those permitted by these Terms and applicable third-party licenses.

You understand that Vantafin has no affiliation with the U.S. Securities and Exchange Commission (SEC), NASDAQ, any stock exchange, or any government agency or regulatory body. References to regulatory filings or market events are for informational purposes only.

11. Disclaimers of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DTS ANALYTICS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, RELIABILITY, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

We do not warrant that: (i) the Service will meet your specific requirements; (ii) the Service will be uninterrupted, timely, secure, or error-free; (iii) any results, quotes, charts, fundamentals, filings metadata, news, alerts, API or WebSocket data, MCP outputs, or other information obtained through the Service will be accurate, complete, current, or reliable; or (iv) any errors in the Service will be corrected.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DTS ANALYTICS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, BUSINESS INTERRUPTION, OR OTHER INTANGIBLE LOSSES, AND INCLUDING ANY INVESTMENT, TRADING, OR FINANCIAL LOSSES (EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), ARISING FROM OR RELATED TO:

• Your use of, or inability to use, the Service
• Any incorrect, delayed, incomplete, outdated, interrupted, or unavailable market data, quotes, charts, fundamentals, screeners, leaderboards, filings, news, transcripts, alerts, API responses, WebSocket messages, MCP tool results, or other information on the Service
• Any AI-generated content, including content that is inaccurate, incomplete, or fabricated
• Any financial, investment, or trading losses, opportunity costs, or decisions made in connection with the Service or any reliance on information obtained through it
• Any unauthorized access to or alteration of your data
• Any third-party content, services, or data accessed through the Service
• Any other matter relating to the Service

Without limiting the foregoing, you agree that DTS Analytics has no liability for any losses you incur in the securities or financial markets, regardless of whether such losses relate to incorrect information on the Service.

To the extent permitted by law, our total aggregate liability for all claims arising from or related to the Service shall not exceed the greater of (a) the amount you paid to us in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars (USD $100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the above limitations apply to the fullest extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless DTS Analytics LLC, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Service; (b) your investment, trading, or financial decisions, or any reliance on information obtained through the Service; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; or (e) your violation of any third-party rights.

14. Dispute Resolution and Governing Law

These Terms and your use of the Service are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles.

Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved informally within thirty (30) days, either party may pursue resolution through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with the arbitration taking place in Sheridan County, Wyoming.

Class action waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If this waiver is found to be unenforceable, the entirety of this arbitration provision shall be null and void.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

15. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice, at our sole discretion. You may terminate your account at any time by contacting us or using the account settings.

Upon termination, the following provisions survive: Sections 7 (Financial Disclaimers), 8 (AI Terms), 9 (Intellectual Property), 11 (Disclaimers), 12 (Limitation of Liability), 13 (Indemnification), and 14 (Dispute Resolution).

16. Modifications to the Service

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, temporarily or permanently, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

17. Changes to These Terms

We may revise these Terms from time to time. When we make material changes, we will update the "Last Updated" date at the top and, where appropriate, provide additional notice. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of those revisions. If you do not agree to the revised Terms, you must stop using the Service.

18. General Provisions

• Entire agreement: These Terms, together with our Privacy Policy and AI Policy, constitute the entire agreement between you and DTS Analytics regarding the Service.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
• No waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
• Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
